Definitions

In this agreement

  • Xmart Booking or we refers to the platform operated by VNOD Corporation, a corporation registered in the Province of Ontario, Canada.
  • Restaurant Owner or you refers to any individual or legal entity using this platform to manage reservations.
  • Customer refers to individuals who make reservations at your restaurant through the platform.

Our Commitment to Protecting Your Data

We will never sell your customers' personal information to any third party.

Xmart Booking commits to the following

  • Customers' personal information will never be sold or transferred to advertising companies or third parties.
  • All analyses are conducted anonymously without identifying individuals.
  • Your restaurant will never be individually identified in any public analytics or industry report.
  • Customer data will only be used within the scope of your restaurant's services.

We do not permit third parties to use your personal data to train their own AI models.

Note: This commitment relates to customer data and analytics reporting. It does not limit xMart Booking's promotional use of your restaurant's name and brand as described in Section 13 (Marketing and Promotional Use).

Your Rights

As a Restaurant Owner, you have the right at any time to

  • Request a complete copy of your stored data.
  • Request permanent deletion of your restaurant's data.
  • Opt out of data analysis.
  • Close your account without penalty.

What Data We Collect

By using Xmart Booking, you agree that we may collect and store the following data:

  • Reservation history and booking patterns
  • Table utilization rates and restaurant capacity
  • Peak hours, seasonal trends, and no-show rates
  • Platform usage behavior by your team
  • Customer contact information provided during booking (name, phone number, email)
  • Customer food preferences and dining tastes based on reservation history

How We Use This Data

Xmart Booking uses collected data for the following purposes:

  • Improving platform performance and features
  • Providing analytics reports to your restaurant
  • Developing new features based on market needs
  • Training and improving AI systems within the platform
  • Producing aggregated, anonymized industry reports
  • Enabling personalized recommendations for customers with customer consent

Data Ownership

  • Customer Data: Belongs to your restaurant. You may request or delete this data at any time.
  • Platform Analytics and Improvements: Insights, patterns, and software improvements derived from processing aggregated data belong to Xmart Booking.

Artificial Intelligence and Model Training

By accepting these terms, you grant Xmart Booking permission to:

  • Use your restaurant's operational data in anonymized form to train and improve the platform's AI systems.

This training will never include customers' personal information (name, phone, email).

Personalized Recommendations and Targeted Marketing

Xmart Booking enables your restaurant to send targeted offers based on customer dining preferences:

  • Suggesting specific dishes based on a customer's previous orders
  • Notifying customers about special menus matching their taste profile
  • Sending promotional messages via SMS or email
  • Suggesting reservation times based on a customer's visit patterns
The Restaurant Owner bears full and sole legal responsibility for obtaining explicit written consent from each customer before sending any marketing message. Xmart Booking accepts no legal, financial, or regulatory liability for any violation of this requirement by the restaurant. Non-compliance with Canada's CASL legislation may result in significant fines.

Requirements the Restaurant Owner must comply with

  • Active customer consent is required — pre-checked boxes are not permitted.
  • A clear opt-out option must be included in every marketing message.
  • The restaurant must maintain records of all customer consents.
  • No messages may be sent to customers who have opted out.

Limitation of Liability

Xmart Booking is solely a technology platform. We accept no responsibility for:

  • How the restaurant uses customer data
  • Violations of privacy laws by the restaurant
  • Sending marketing messages without customer consent
  • Any damages resulting from misuse of the platform

All such responsibilities rest solely with the Restaurant Owner.

Data Security

  • All data is encrypted in transit and at rest.
  • Access to data is restricted to authorized personnel only.
  • In the event of any security breach, you will be notified as soon as possible.

Governing Law and Dispute Resolution

This agreement is governed by the laws of Canada, including:

  • PIPEDA — Canada's Federal Privacy Law
  • CASL — Canada's Anti-Spam Legislation
In the event of a dispute, both parties will first attempt to resolve the matter through direct negotiation. If no agreement is reached, the matter will be referred to the competent courts of Canada.

Changes to These Terms

  • You will be notified at least 30 days before any significant changes take effect.
  • Continued use of the platform after notification constitutes acceptance of the changes.
  • If you disagree, you may close your account before the changes take effect.

Marketing and Promotional Use

By registering for xMart Booking, the Restaurant Owner grants xMart Booking a non-exclusive, royalty-free, worldwide license to use the restaurant's name, logo, brand assets, and a general description of its use of the platform for the purpose of marketing, advertising, case studies, testimonials, website listings, and promotional materials, in any medium.

This may include, but is not limited to, listing the restaurant as a client or user of xMart Booking on our website, social media, pitch materials, and investor communications.

If a Restaurant Owner does not wish to be included in such promotional use, they may opt out at any time by written request to the contact address provided. Opting out does not affect any other rights or obligations under this agreement.
